Agreement
1. Acceptance of Terms
These Terms govern access to Tvara's sales platform, websites, dashboards, integrations, AI workflows, analytics, and related services.
Welcome to Tvara. These Terms and Conditions govern your access to and use of Tvara's websites, applications, dashboards, APIs, integrations, sales automation tools, AI-assisted workflows, analytics, lead management, campaign management, communication tools, and related services collectively referred to as the Platform or Services.
Tvara is operated by What A Day Private Limited, Bengaluru, Karnataka, India. By accessing the Platform, creating an account, connecting an external service, uploading data, saving leads, creating campaigns, or using any AI, auto-reply, analytics, CRM, or communication workflow, you agree to these Terms.
If you use Tvara on behalf of a company, agency, client, team, or organization, you confirm that you have the authority to accept these Terms on behalf of that entity.
Clarity
2. Key Definitions
Personal / Individual Account
An account created and used by a single person for their own professional use unless later added to a company workspace.
Company / Workspace Account
An account, workspace, or organization created for a company, team, agency, client, or business entity.
Workspace Admin
A user who can manage workspace settings, members, access permissions, billing, integrations, campaigns, and workspace data.
Customer Data
Data uploaded, synced, stored, submitted, created, generated, or processed through Tvara, including leads, campaigns, files, messages, prompts, outputs, analytics, and CRM data.
Lead Data
Information about prospects, customers, buyers, organizations, decision-makers, or contacts, including names, emails, phone numbers, company names, designations, LinkedIn profiles, industries, and communication history.
Auto Reply
Any automated, AI-assisted, rule-based, template-based, or user-configured response generated, suggested, queued, scheduled, or sent through Tvara or a connected service.
Permitted use
3. Use of the Platform
Tvara is a sales intelligence, sales automation, matching, outreach, communication analytics, and workflow platform. Depending on your plan and configuration, the Platform may allow you to create and manage lead sets, offering sets, templates, campaigns, communication workflows, and analytics dashboards.
You may use Tvara to:
- create, save, organize, segment, and analyze leads;
- upload spreadsheets and maintain lead sets;
- connect approved email, CRM, calling, WhatsApp, and meeting tools;
- generate AI-assisted insights, summaries, recommendations, and reply suggestions;
- analyze outreach, calls, replies, meetings, campaigns, and sales activity;
- automate or assist parts of lawful sales workflows.
You must use Tvara only for lawful business purposes and in compliance with these Terms, applicable laws, third-party platform policies, and communication rules.
Ownership and visibility
4. Personal Accounts and Workspace Accounts
Personal Account
A Personal Account is intended for a single user. The individual user controls their saved leads, uploads, integrations, campaigns, and settings unless the account is added to or migrated into a Workspace.
Workspace Account
A Workspace Account is owned and controlled by the company, agency, organization, or business entity under which the workspace is created.
Workspace Admin Access
Workspace Admins may manage users, integrations, billing, permissions, campaigns, saved leads, uploaded data, communication activity, analytics, and other records within the workspace.
Company Data Control
If you join a workspace using a work email or invitation, your activity inside that workspace may be visible to the workspace owner or admins, subject to your organization's internal policies.
No spam, no illegal use
5. User Responsibilities
You are responsible for all activity under your account and workspace.
This includes all data uploaded, leads saved, integrations connected, campaigns created, messages sent, calls made, prompts entered, AI outputs used, and auto replies enabled through Tvara.
You must not use Tvara to:
- upload, process, or share data that you do not have the legal right to use;
- contact people without a lawful basis, consent, legitimate business reason, or other permission required under applicable law;
- send spam, unsolicited bulk messages, phishing messages, misleading campaigns, fraudulent content, or deceptive outreach;
- violate email, calling, SMS, WhatsApp, telecom, advertising, data protection, or anti-spam laws;
- impersonate another person, company, sender, domain, or brand;
- use fake sender identities, misleading subject lines, deceptive headers, or false business claims;
- scrape, upload, or process unlawfully obtained data;
- bypass opt-outs, unsubscribe requests, suppression lists, DND/DNC obligations, or do-not-contact preferences;
- promote illegal, harmful, discriminatory, abusive, misleading, or prohibited products or services;
- use Tvara in a way that violates Google, Meta, LinkedIn, WhatsApp, Twilio, email provider, CRM, or other third-party platform policies.
Lead ownership
6. Lead Saving and Lead Data
Tvara may allow users to save leads from uploads, searches, campaigns, calls, WhatsApp workflows, email activity, CRM syncs, datasets, or other permitted sources. Lead records may include source information, timestamps, campaign associations, communication history, enrichment status, analytics, tags, and related metadata.
When you save or process Lead Data, you confirm that:
- you have the right to store, process, and use that Lead Data;
- the Lead Data was collected lawfully;
- you will use Lead Data only for lawful sales, marketing, customer engagement, or business purposes;
- you will respect opt-outs, deletion requests, consent withdrawals, unsubscribe requests, and communication preferences;
- you will not use Lead Data for unlawful profiling, discrimination, harassment, fraud, spam, or unauthorized resale.
File handling
7. Uploaded Sheets and Files
When you upload CSV, Excel, spreadsheet, or similar files to Tvara, the uploaded data is associated with your account or workspace. The data may be parsed, structured, cleaned, matched, enriched, analyzed, validated, deduplicated, or used to create lead sets, campaigns, templates, reports, and insights.
Uploaded sheets may be stored with:
- file name, file type, upload source, uploader, workspace, and timestamps;
- processed records, validation errors, deduplication status, and enrichment results;
- lead-source information, campaign associations, and analytics outputs.
Uploaded sheets and processed records are not intentionally made available to unrelated customers, unrelated users, or unrelated workspaces. Workspace Admins may access uploaded files and processed records within their own workspace.
Automation rules
8. Auto Replies and AI-Assisted Responses
Auto Replies assist users. They do not replace user responsibility.
Tvara may provide AI-assisted replies, template replies, rule-based responses, or automated replies based on user-configured settings, campaign logic, lead status, previous communication, prompts, templates, and connected channels.
You agree that:
- you are responsible for reviewing, approving, enabling, disabling, and monitoring Auto Replies where required;
- you are responsible for the legality, accuracy, tone, timing, claims, and sender identity of any reply sent;
- Auto Replies must not be used for spam, harassment, deception, impersonation, fraud, or unlawful outreach;
- Auto Replies must respect opt-outs, unsubscribe requests, DND/DNC rules, suppression lists, and platform policies;
- Tvara may log Auto Replies and related metadata for analytics, auditability, troubleshooting, quality, and compliance.
Tvara does not guarantee that AI-generated or automated replies will be error-free, legally sufficient, commercially successful, or appropriate for every context.
Connected services
9. External CRMs and Third-Party Integrations
Tvara may allow you to connect external services such as Gmail, Outlook, Zoho Mail, CRMs, calling tools, WhatsApp tools, meeting tools, analytics tools, or other business applications. By connecting an integration, you authorize Tvara to access, process, sync, store, send, receive, or display data from that service based on the permissions you grant.
You are responsible for:
- ensuring you have authority to connect the external account;
- complying with the external provider's terms, policies, and API rules;
- managing sync settings, permissions, connected users, and access levels;
- disconnecting integrations you no longer want to use;
- ensuring synced CRM, email, call, WhatsApp, or meeting data is processed lawfully.
Tvara is not responsible for the availability, downtime, accuracy, security, or actions of third-party services.
Workspace boundaries
10. Data Separation and Prevention of Data Pollution
Customer data is logically separated by account, user, company, and workspace identifiers.
Tvara is designed to prevent data pollution between users, customers, clients, and workspaces. We use access controls, permission checks, workspace boundaries, and internal data separation practices to reduce the risk of one customer's data being exposed to or mixed with another customer's data.
Tvara does not intentionally:
- expose one customer's private lead lists, uploaded sheets, campaign data, CRM data, email data, call data, or workspace data to another customer;
- use one customer's private data to enrich another customer's private workspace;
- allow unrelated customers to access each other's saved leads, files, campaigns, communication history, or analytics.
Tvara may use aggregated, anonymized, or de-identified operational data to improve reliability, performance, security, analytics, and product experience, provided such data does not identify a specific customer, lead, user, or workspace.
Decision support
11. AI Outputs, Matching Engine, and Analytics
Tvara may use AI models, matching algorithms, scoring systems, recommendations, summaries, classifications, and analytics to help users prioritize leads, understand conversations, improve outreach, and automate workflows.
You understand that:
- AI outputs may be incomplete, inaccurate, outdated, or contextually imperfect;
- matching scores and recommendations are decision-support tools only;
- you are responsible for final business decisions, outreach decisions, and customer communications;
- Tvara does not guarantee revenue, conversions, sales outcomes, campaign performance, lead quality, or deal closure.
Trust and safeguards
12. Security and CASA Verification
Tvara takes reasonable technical and organizational measures to protect the Platform and Customer Data, including access controls, authentication, internal permissioning, monitoring, and secure infrastructure practices.
Tvara's Google OAuth application has completed CASA Tier 2 verification through TAC Security, supporting secure handling of Google-connected services and application security review expectations.
No system is completely secure. You are responsible for safeguarding your login credentials, restricting workspace access, reviewing integration permissions, and promptly notifying Tvara of suspected unauthorized access.
Google, Meta, LinkedIn and others
13. Advertising and Platform Compliance
If you use Tvara for ads, lead generation, outreach, remarketing, tracking, or campaigns, you are responsible for compliance.
This includes compliance with applicable advertising and platform policies, including those of Google, Meta, LinkedIn, WhatsApp, Twilio, email providers, telecom providers, CRM providers, and any other connected service.
Your ads, landing pages, campaigns, lead forms, and communication workflows must:
- include accurate business information;
- avoid misleading claims, fake urgency, deceptive offers, or false guarantees;
- include required privacy notices, consent language, and unsubscribe options where applicable;
- not collect, use, or share personal information deceptively;
- not promote prohibited, illegal, discriminatory, harmful, or restricted content;
- comply with all applicable laws and third-party platform requirements.
Tvara may suspend, restrict, or terminate accounts that appear to violate advertising, anti-spam, data protection, communication, or platform policies.
Commercial terms
14. Fees, Plans, Trials, and Billing
Certain Tvara features may be available only under paid plans, usage-based credits, subscriptions, trials, or enterprise agreements. Fees, limits, credits, plan features, and billing terms may vary by plan and may be updated from time to time.
Unless separately agreed in writing, fees are non-refundable except where required by law or expressly stated by Tvara. You are responsible for keeping billing information accurate and paying applicable fees on time.
Ownership
15. Intellectual Property and Confidentiality
Tvara owns all rights, title, and interest in the Platform, including software, workflows, interface, designs, algorithms, models, systems, documentation, branding, trademarks, and product features.
You retain ownership of your Customer Data, subject to the rights you grant Tvara to provide, secure, maintain, improve, and support the Services.
You may not copy, reverse engineer, resell, misuse, or exploit the Platform except as expressly permitted by Tvara. You must not disclose confidential information obtained through Tvara, including private workspace data, product architecture, security information, non-public features, pricing, internal workflows, or third-party data.
Enforcement
16. Suspension and Termination
Tvara may suspend, restrict, or terminate access if we believe your use creates legal, security, privacy, spam, platform, operational, billing, or reputational risk.
Examples include:
- violating these Terms;
- misusing integrations or external accounts;
- sending spam or unlawful outreach;
- using unlawfully obtained data;
- creating security risk or unauthorized access;
- failing to pay applicable fees;
- harming Tvara, other users, third parties, or the Platform.
Important limitations
17. Disclaimers and Limitation of Liability
Tvara is provided on an as is and as available basis. We do not guarantee that the Platform will be uninterrupted, error-free, fully secure, or compatible with every third-party service.
We do not guarantee that AI outputs will be accurate, that campaigns will generate leads or revenue, that integrations will remain available, or that third-party data will always be accurate or current.
To the maximum extent permitted by law, Tvara will not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of profits, revenue, business, goodwill, data, or campaign performance.
Tvara's total liability under these Terms will be limited to the amount paid by you to Tvara for the Services in the three months preceding the claim, unless applicable law requires otherwise.
Customer responsibility
18. Indemnity
You agree to indemnify and hold harmless Tvara, its directors, employees, officers, contractors, affiliates, and partners from claims, losses, liabilities, penalties, damages, and expenses arising from your misuse of the Platform, unlawful use of Customer Data or Lead Data, campaigns, messages, calls, auto replies, outreach, violation of these Terms, violation of applicable law, violation of third-party platform policies, or infringement of third-party rights.
Updates
19. Changes to These Terms
Tvara may update these Terms from time to time. Updated Terms will be posted on the website or inside the Platform with a revised last-updated date. Continued use of the Platform after updates means you accept the revised Terms.
Bengaluru jurisdiction
20. Governing Law and Disputes
These Terms are governed by the laws of India.
Any dispute, claim, or proceeding arising out of or relating to Tvara, the Platform, these Terms, or any related service shall be subject to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka, India.
